Terms and Conditions for Client Use of the Teleport RSA Mobile Application

These Terms and Conditions (“Terms”) govern the use of the Teleport RSA mobile application

(“Application”) provided by Yaced Solutions Inc. (“Company”). By using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the Application.

 

1. Acceptance of Terms:

1.1 By using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2 You represent and warrant that you have the legal capacity to enter into these Terms.

 

2. Use of the Application:

2.1 The Application is intended solely for the purpose of facilitating the booking of road-side

assistance services.

2.2 You agree to use the Application only for lawful purposes and in compliance with all applicable laws and regulations.

2.3 You are solely responsible for maintaining the confidentiality of your account information and for any activities that occur under your account.

 

3. Service Providers:

3.1 The Application allows you to request road-side assistance services from third-party service providers (“Service Providers”).

3.2 The Company does not endorse or guarantee the quality or availability of the services provided by Service Providers.

3.3 You acknowledge and agree that any contract for the provision of services is between you and the Service Provider, and the Company is not a party to such contract.

 

4. Fees and Payment:

4.1 The fees for road-side assistance services are determined by the Service Providers.

4.2 You agree to pay the fees for the services rendered directly to the Service Provider.

4.3 The Company may collect a commission from the Service Provider for facilitating the booking of the services.

 

5. Intellectual Property:

5.1 The Application and all related intellectual property rights are owned by the Company.

5.2 You are granted a limited, non-exclusive, non-transferable license to use the Application for its intended purpose.

 

6. Limitation of Liability:

6.1 The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to the use or inability to use the Application or the services provided by Service Providers.

6.2 The Company shall not be liable for any damages, losses, or injuries incurred as a result of the actions or omissions of Service Providers.

 

7. Indemnification:

7.1 You agree to indemnify, defend, and hold harmless the Company, its officers, directors,

employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or relating to your use of the Application or the services provided by Service Providers.

 

8. Modification and Termination:

8.1 The Company reserves the right to modify, suspend, or terminate the Application or these Terms in whole or in part at any time without notice.

8.2 The Company may also restrict or terminate your access to the Application for any reason.

8.3 In case of any significant changes to the Application or these Terms, the Company will strive to provide advance notice to users, except in urgent situations.

 

9. Governing Law and Dispute Resolution:

9.1 These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada.

9.2 Any dispute arising out of or relating to these Terms or the use of the Application shall be submitted to binding arbitration in accordance with the applicable laws. Details of the arbitration process, including rules, location, arbitrator appointment, and rights to appeal or pursue standard legal processes, will be followed as specified.

 

10. Severability:

10.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

11. Entire Agreement:

11.1 These Terms constitute the entire agreement between you and the Company regarding the use of the Application and supersede any prior agreements or understandings.

 

12. Account Suspension:

12.1 The Company reserves the right to suspend or terminate your account in the event that your rating falls below a certain threshold as determined by the Company.

12.2 The Company may suspend or terminate your account without prior notice if you provide false or inaccurate information during the registration process or if you engage in fraudulent or unauthorized activities.

12.3 The Company also reserves the right to suspend or terminate your account if you use suspended or stolen credit cards for payment.

14. Dispute and Refund Policy:

14.1 Refunds and disputes related to the services provided through the Application will be handled on a case-by-case basis.

14.2 The Company is committed to ensuring fair and reasonable resolution of any disputes that arise. Users are encouraged to contact the Company via the ticketing system with any concerns or issues related to refunds or disputes.

14.3 The Company will evaluate each case individually, considering all relevant circumstances and information provided by the users and the Service Providers, to reach a fair resolution.
